Roivant Sciences was founded in 2014 by Vivek Ramaswamy, a former hedge fund biotech analyst who later became a prominent political figure, based on a distinctive corporate structure strategy: rather than developing drug candidates within a single traditional pharmaceutical company organizational structure, Roivant creates separate subsidiary companies, informally called "Vants," each focused on advancing a specific drug candidate or a specific therapeutic area, often built around licensing a promising drug candidate that a larger pharmaceutical company had deprioritized or shelved for reasons unrelated to the drug's actual scientific merit, such as not fitting a large pharma company's current strategic therapeutic area focus, giving Roivant an opportunity to acquire promising but deprioritized drug candidates at a lower cost than developing entirely novel compounds from scratch. This "Vant" structure lets Roivant raise separate financing for each individual subsidiary company and drug program, rather than needing to fund all of its various drug development programs through a single combined corporate balance sheet, a structure the company has argued lets it more efficiently allocate capital to its most promising individual programs and gives outside investors the option to invest in a specific Vant subsidiary focused on a therapeutic area or drug candidate of particular interest to them, rather than requiring investment in Roivant's entire diversified portfolio of drug development programs collectively. Roivant has had several of its Vant subsidiaries achieve significant milestones independently, including drug approvals and, in some cases, being acquired by larger pharmaceutical companies once a specific Vant's lead drug candidate advanced far enough in development to demonstrate meaningful commercial value, validating the underlying strategy of licensing and advancing deprioritized but scientifically promising drug candidates through this distributed subsidiary structure. The company went public via a traditional initial public offering on Nasdaq in 2021. Roivant has raised substantial funding across its various corporate structure iterations from investors including SoftBank Vision Fund and various other institutional investors, positioning itself as a distinctive model for pharmaceutical drug development and portfolio management relative to traditional single-entity pharmaceutical company structures.
